Product Details
This first case in a three-part series follows Les Bradley, an experienced mergers and acquisitions (M&A) adviser, as he considers forming Halifax Advisory Group with two former clients, Henry Graham and Amy James. Although Bradley sees value in Graham’s extensive business connections and marketing expertise, he has reservations about bringing James into the partnership as a non-revenue-generating member. As the three negotiate an operating agreement, Bradley must evaluate the proposed ownership structure, compensation arrangements, and decision-making authority while considering how best to protect the value of his existing client pipeline. The case explores the challenges of structuring a new business partnership and balancing individual contributions, financial incentives, and control.
